Transaction overview

Aetherium completed the $180 million acquisition of NexGen Fintech, a Jakarta-based digital payments and micro-lending platform processing over $2 billion in annual transaction volume across Indonesia and Vietnam. The acquisition added a high-growth financial services vertical to Aetherium’s portfolio and expanded the group’s addressable market significantly.

Our approach

The transaction required navigating Indonesian financial services regulations, OJK (Financial Services Authority) approval, and Bank Indonesia foreign ownership guidelines. Our Asia-Pacific team coordinated with local counsel, conducted an extensive regulatory pre-clearance process, and structured the deal to comply with Indonesian fintech licensing requirements while preserving operational flexibility.

The result

The acquisition closed within 90 days of definitive agreement, ahead of the projected timeline. NexGen Fintech’s management team was retained in full, with an earnout structure aligned to three-year revenue and profitability targets. The combined entity benefits from cross-selling opportunities between NexGen’s payments infrastructure and the broader Aetherium portfolio.
